Tax Associate (M&A Tax and Fund Structuring)
A leading Law Firm in New York is looking for an associate to join its premier Tax team. You will provide tax advice to a broad range of sponsors in the alternative investment funds industry—including private equity, real estate (including REIT‑related structures), credit (such as seasoning and treaty‑based lending funds), distressed debt, and hedge funds—across all aspects of their operations. This includes fund formation, investment acquisitions and dispositions, and investor‑related tax considerations.
This is ideal for a US Tax Trained Lawyer or BIG 4 profile, looking to solidify their industry specialism, with a group of Tax Partner "known" in the industry.
You will advise clients with sensitive tax profiles, including funds with foreign and tax‑exempt investors, on structuring complex joint venture, analyse and structure international transactions, including outbound investments, to address PFIC and CFC issues.
Design transaction structures and negotiate tax provisions in key agreements, including stock and asset purchase agreements, partnership and LLC agreements. Draft tax provisions and disclosures for contribution and shareholder agreements, fund partnership agreements, and private placement memoranda.
