Our client is a leading East Coast law firm with nearly 300 attorneys across multiple offices, offering a collaborative environment and cross-disciplinary support for complex legal matters. They are seeking an experienced Corporate Paralegal to support a wide range of transactional matters, including entity formation, M& A, financings, and regulatory filings. The role involves significant client contact and coordination with third parties.
Key Responsibilities:
- Form and maintain business entities; draft governance documents
- Draft board/shareholder resolutions and maintain minute books
- Support M& A transactions: due diligence, disclosure schedules, and closing coordination
- Prepare and file UCC forms, Form D, Blue Sky filings, and EIN applications
- Conduct legal research and draft memos
- Stay up to date with the Corporate Transparency Act and compliance requirements
• Bachelor’s degree and an approved paralegal certificate or equivalent experience.
• Minimum of 3–5 years of corporate paralegal experience in a law firm or in-house legal department.
• Proficiency in Microsoft Office applications and document management systems.
• Strong knowledge of regulatory filings and corporate governance requirements.
• Effective organizational and communication skills with exceptional attention to detail.
• Ability to work collaboratively in a fast-paced legal environment.
• Familiarity with legal research tools and techniques.
